Creator Terms of Service

Plain Language Summary

These Creator Terms explain what's expected of you as a Fitley creator, how you get paid, what you can and can't post, and how we handle your content and data. They supplement our Fan Terms of Service which also apply to you. We've written everything in plain English so it's easy to understand, as required by the Consumer Rights Act 2015. 1. AGREEMENT AND ACCEPTANCE

These Creator Terms of Service (the "Creator Terms") are a legal agreement between you and FITLEY LTD ("Company", "we", "us", or "our"), a company registered in England at Kingweston Road, Charlton Mackrell, Somerton, Somerset TA11 6AH.

These Creator Terms supplement and are in addition to our Fan Terms of Service (the "Fan Terms"). By accepting these Creator Terms, you confirm your continued agreement to the Fan Terms, which also apply to your use of the platform. In the event of any conflict between these Creator Terms and the Fan Terms, these Creator Terms shall prevail to the extent of the conflict.

These Creator Terms apply only to users whose creator application has been reviewed and approved by Fitley. Acceptance is completed by ticking the "I have read and agree to the Creator Terms of Service" checkbox and clicking the "I Agree" button on your first login after admin approval of your creator application.

By accepting these Creator Terms, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into a binding agreement. If you do not agree with these Creator Terms, you must not use the creator features of the platform.

2. DEFINITIONS

In these Creator Terms, unless the context otherwise requires, the following definitions apply:

  • "Creator Content" means any workout plans, images, videos, written materials, or other content uploaded, published, or made available by you through the creator tools on the Platform.
  • "Creator Dashboard" means the creator management interface within the Platform through which you manage your content, subscriptions, messaging, payouts, and account settings.
  • "Platform" means the Fitley website at https://www.getfitley.com and all related services, applications, and tools provided by Fitley Ltd.
  • "Subscriber" means a fan or user with an active paid subscription to your Creator Content on the Platform.
  • "Revenue Share" means the percentage split of subscription and paid message revenue between you (as creator) and the Platform, as set out in Section 6 of these Creator Terms.

3. CREATOR ACCOUNT AND APPROVAL

Creator status on Fitley is not automatic. It is granted at Fitley's sole discretion following a creator application and approval process. We are not obliged to approve any application and may decline without providing reasons.

Fitley may revoke or suspend your creator status at any time if you breach these Creator Terms, the Fan Terms, or any applicable law. Revocation or suspension will be handled in accordance with Section 10 of these Creator Terms.

As a creator, you must maintain accurate, complete, and up-to-date profile information at all times, including your display name, biography, profile image, and any credentials or qualifications you choose to display. Misleading or false profile information is grounds for suspension or termination.

You must be at least 18 years old to apply for and hold creator status on Fitley. We verify your age as part of the application and identity verification process.

You acknowledge and agree that you are an independent content publisher. You are not an employee, worker, agent, partner, or representative of Fitley Ltd. Nothing in these Creator Terms creates an employment relationship, partnership, joint venture, or agency between you and Fitley.

4. CONTENT OWNERSHIP AND PLATFORM LICENCE

4.1 Creator Ownership

You retain full intellectual property ownership of all Creator Content that you upload, publish, or make available on the Platform. Fitley does not claim ownership of your content. These Creator Terms do not transfer any intellectual property rights from you to Fitley.

4.2 Licence to Fitley

By uploading Creator Content to the Platform, you grant Fitley a non-exclusive, royalty-free, worldwide licence to:

  • Host, store, and cache your Creator Content on our servers and content delivery networks;
  • Display and reproduce your Creator Content to Subscribers and users as part of the normal operation of the Platform;
  • Distribute your Creator Content to Subscribers who have purchased access;
  • Create previews, thumbnails, and promotional excerpts of your Creator Content for use within the Platform (including search results, discovery features, and recommendations);
  • Reproduce or disclose your Creator Content as required to comply with applicable law, regulation, or legal process.

This licence does not grant Fitley the right to sell, sublicense, or use your Creator Content for purposes unrelated to the operation and promotion of the Platform without your separate written consent.

4.3 Licence Termination

The licence granted in Section 4.2 ends when you delete the relevant Creator Content from the Platform or when your creator account is closed, subject to: (a) any data retention obligations we have under applicable law; (b) any ongoing Subscriber access that was validly purchased before deletion or closure (which will continue until the end of the Subscriber's current billing period); and (c) cached or archived copies that may persist temporarily in backup systems.

4.4 Creator Warranties

By uploading Creator Content, you represent and warrant that:

  • You own or have obtained all necessary rights, licences, and permissions to the Creator Content, including any music, images, or third-party materials incorporated in it;
  • Your Creator Content does not infringe the intellectual property rights, privacy rights, or any other rights of any third party;
  • You have obtained the consent of any identifiable individuals appearing in your Creator Content.

You agree to indemnify Fitley against any claims, damages, losses, or expenses arising from a breach of these warranties, as further set out in Section 11.

5. CONTENT STANDARDS AND UPLOAD GUIDELINES

All Creator Content must comply with the following standards. By uploading content, you agree that your Creator Content:

  • Must be fitness-related. Content should relate to exercise, workout programming, fitness education, nutrition guidance, or wellness within the scope of fitness.
  • Must not contain sexually explicit material. Fitley is a fitness platform. Content that is sexually explicit, pornographic, or primarily intended to be sexual in nature is strictly prohibited.
  • Must not constitute medical advice. You must not claim to be a medical professional (unless you are one and can evidence it) or provide content that could reasonably be interpreted as medical diagnosis, treatment, or prescription. General fitness and nutrition information is acceptable.
  • Must include appropriate health and safety disclaimers. Where your content involves physical exercise, you should include appropriate warnings advising users to consult a healthcare professional before starting any new exercise programme, and to exercise within their own limits.
  • Must not infringe other creators' rights. You must not upload content that belongs to another creator or third party without their written authorisation.
  • Must not solicit off-platform transactions. You must not use the Platform to solicit, encourage, or direct Subscribers to purchase content, services, or subscriptions outside of Fitley.

Fitley reserves the right to remove any Creator Content that breaches these standards without prior notice. Repeated or serious violations may result in suspension or termination of your creator account in accordance with Section 10.

Where your activities as a creator involve providing exercise instruction, personal training, or nutrition advice, you should hold appropriate professional liability insurance. Fitley does not provide insurance cover for creators and accepts no liability for claims arising from your Creator Content.

6. REVENUE SHARE AND PLATFORM FEES

6.1 Subscription Fee

Fitley charges a platform fee of 20% of subscription revenue. You (the creator) receive the remaining 80%. Fitley absorbs all Stripe payment processing fees — these are not deducted from your share.

Example: If you set a subscription price of £10.00 per month, Fitley's fee is £2.00 and you receive £8.00. Stripe processing fees are paid by Fitley separately and do not reduce your payout.

6.2 Paid Message Fee

Fitley charges a platform fee of 20% of paid message revenue, with a minimum platform fee of £1.00 per message. The minimum price a creator may charge for a paid message is £2.00. Fitley absorbs all Stripe payment processing fees.

6.3 Changes to Platform Fees

Fitley may change the platform fee percentages or minimum fees. We will provide at least 30 days' written notice of any fee changes via email to the address associated with your account and via an in-platform notification.

Your continued use of the Platform as a creator after the effective date of a fee change constitutes acceptance of the new fees. If you do not agree to the new fees, you may terminate your creator account during the 30-day notice period in accordance with Section 10.4.

6.4 Creator Subscription Pricing

You set your own subscription prices, subject to any minimum and maximum price guidelines published by Fitley on the Platform from time to time. Fitley reserves the right to introduce, modify, or remove price limits with reasonable notice.

6.5 VAT and Taxation

All fees and revenue share figures stated in these Creator Terms are inclusive of VAT where applicable.

You are solely responsible for your own tax obligations, including but not limited to income tax, National Insurance contributions, and VAT registration and reporting. Fitley does not provide tax advice. You should consult a qualified tax professional regarding your obligations. All amounts are in GBP (£).

7. CREATOR PAYOUTS AND IDENTITY VERIFICATION

7.1 Payout Processing

Creator payouts are processed via Stripe Connect. Your payouts are subject to Stripe's eligibility requirements, identity verification, and payout schedule. Fitley does not hold your funds directly — funds are held and disbursed by Stripe in accordance with Stripe's terms of service.

7.2 Payout Withholding

Fitley may instruct Stripe to withhold or delay payouts in the following circumstances:

  • A chargeback or fraud investigation is in progress relating to your account;
  • There is a suspected breach of these Creator Terms or the Fan Terms;
  • Your identity verification (KYC) is incomplete or has lapsed;
  • Your payout balance is below the minimum payout threshold.

Where payouts are withheld, Fitley will notify you of the reason and the expected resolution timeline.

7.3 Identity Verification

Before you can receive payouts, you must complete Stripe's Know Your Customer (KYC) identity verification process. This may include providing government-issued identification and proof of address. Payouts will be withheld until verification is successfully completed. Fitley may also require additional verification at any time as required by law or our compliance obligations.

7.4 Chargebacks

If a Subscriber initiates a chargeback against a payment made to you:

  • Fitley will notify you of the chargeback and provide relevant details;
  • You agree to cooperate with Fitley and Stripe to contest the chargeback where appropriate, including providing evidence of content delivery;
  • If a chargeback is upheld, the disputed amount (including any chargeback fees imposed by Stripe) will be debited from your Stripe Connect account;
  • Future payouts may be withheld pending resolution of outstanding chargebacks.

8. CREATOR DATA OBLIGATIONS

As a creator on Fitley, you may have access to certain personal data of your Subscribers through the Platform (such as display names, profile information, and messaging content). In respect of this data:

  • You are an independent data controller under the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018 for any Subscriber personal data you access or process through the Platform.
  • You must process Subscriber personal data only for the purpose of delivering and improving your Creator Content on the Fitley Platform.
  • You must not export, download, copy, or store Subscriber personal data outside of the Platform.
  • You must not share, sell, or disclose Subscriber personal data to any third party for any reason.
  • You must respond to data subject access requests and other data rights requests from Subscribers in accordance with UK GDPR, and you must cooperate with Fitley in responding to any such requests that are directed to us.

You agree to indemnify and hold Fitley harmless from and against any claims, fines, penalties, damages, losses, or expenses arising from your breach of data protection law in connection with Subscriber personal data.

9. CREATOR STATUS AND LIABILITY

You are an independent content publisher. You are not an employee, worker, agent, partner, or representative of Fitley Ltd. Fitley does not direct or control the manner in which you create or publish your content.

Fitley does not vet, endorse, certify, or approve the safety, accuracy, or quality of Creator Content. Subscribers access Creator Content at their own risk, and Fitley makes no representations or warranties regarding any creator's qualifications, expertise, or the suitability of their content for any particular individual.

You are solely responsible for the accuracy, safety, legality, and appropriateness of all Creator Content you publish on the Platform. This includes ensuring that any exercise instructions, workout plans, or nutritional guidance are safe, appropriate, and clearly communicated.

You must include appropriate health and safety disclaimers with your Creator Content, particularly where it involves physical exercise. At a minimum, you should advise Subscribers to consult a healthcare professional before starting any new exercise programme and to exercise within their own physical limits.

Where applicable, you should hold appropriate professional liability insurance covering your activities as a fitness content creator. Fitley does not provide insurance cover for creators and accepts no liability for claims arising from your Creator Content.

10. ACCOUNT SUSPENSION AND TERMINATION

10.1 Grounds for Suspension or Termination

Fitley may suspend or terminate your creator account for any of the following reasons:

  • Breach of these Creator Terms or the Fan Terms;
  • Violation of the content standards set out in Section 5;
  • Fraudulent activity or suspected fraud;
  • Conduct that is harmful, abusive, or threatening towards other users, Subscribers, or Fitley staff;
  • Failure to complete or maintain identity verification as required by Section 7.3.

10.2 Notice

Where reasonably possible, Fitley will provide advance notice before suspending or terminating your creator account, along with the reasons for the action. However, Fitley reserves the right to suspend or terminate your account immediately and without prior notice where the breach is serious, involves illegal activity, or poses a risk to the safety of other users or the integrity of the Platform.

10.3 Effect on Creators

Upon suspension or termination of your creator account:

  • Any outstanding payouts will be processed in accordance with Section 7, subject to the payout withholding rules;
  • Your Creator Content will be removed from the Platform within a reasonable period;
  • Active Subscriber subscriptions to your content will be cancelled, and Subscribers will be notified.

10.4 Creator Voluntary Termination

You may close your creator account at any time by contacting us or through your account settings. Upon voluntary termination:

  • Any outstanding payouts will be processed in accordance with Section 7;
  • Active Subscriber subscriptions will be wound down — existing Subscribers will retain access until the end of their current billing period, after which subscriptions will not renew.

10.5 Appeals

If your creator account has been suspended or terminated and you believe the decision was made in error, you may appeal by emailing fin@getfitley.com with details of your appeal. We will review your appeal and respond within a reasonable timeframe.

11. INDEMNIFICATION

You (acting in your capacity as a business or professional content creator) agree to indemnify, defend, and hold harmless Fitley Ltd, its directors, officers, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:

  • Your Creator Content, including any claims that your content caused injury, harm, or loss to any person;
  • Your breach of these Creator Terms or the Fan Terms;
  • Any infringement or alleged infringement of intellectual property rights, privacy rights, or other third-party rights by your Creator Content;
  • Any harmful, negligent, or wrongful act or omission by you in connection with your use of the Platform or your interactions with Subscribers.

Fitley will notify you promptly of any claim subject to indemnification and will not settle any such claim without your consent where the settlement would impose obligations on you beyond the payment of money.

12. GOVERNING LAW AND DISPUTE RESOLUTION

These Creator Terms are governed by and construed in accordance with the laws of England and Wales.

In the event of any dispute arising out of or in connection with these Creator Terms, you and Fitley agree to first attempt to resolve the dispute through informal negotiation in good faith for a period of at least 30 days from the date written notice of the dispute is given by one party to the other.

If the dispute cannot be resolved through informal negotiation, it shall be submitted to the exclusive jurisdiction of the courts of England and Wales.

Nothing in this section limits any rights you may have as a consumer under the Consumer Rights Act 2015 or any other applicable consumer protection legislation.

13. CHANGES TO CREATOR TERMS

Fitley may update or amend these Creator Terms from time to time. We will provide at least 30 days' notice of any changes via email to the address associated with your account and via an in-platform notification.

Your continued use of the Platform as a creator after the effective date of the updated Creator Terms constitutes your acceptance of the changes.

If any changes materially reduce your rights or materially increase your obligations under these Creator Terms, you may terminate your creator account during the 30-day notice period in accordance with Section 10.4, and any outstanding payouts will be processed under the terms in effect at the time of termination.

14. MISCELLANEOUS

Entire Agreement. These Creator Terms, together with the Fan Terms of Service and our Privacy Policy, constitute the entire agreement between you and Fitley regarding your use of the Platform as a creator. They supersede all prior agreements, representations, and understandings relating to the subject matter of these Creator Terms.

Severability. If any provision of these Creator Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

No Waiver. Fitley's failure to exercise or enforce any right or provision of these Creator Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by Fitley to be effective.

Assignment. You may not assign or transfer your rights or obligations under these Creator Terms without Fitley's prior written consent. Fitley may assign its rights and obligations under these Creator Terms to any affiliate or successor in connection with a merger, acquisition, or sale of all or substantially all of its assets, provided that the assignee agrees to be bound by these Creator Terms.
